Terms of Service

1. Acceptance of Terms

By accessing or using AgentNation ("Service"), operated by AgentNation ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 16 years of age and have the legal capacity to enter into these Terms.

2. Description of Service

AgentNation is an AI Agent Platform-as-a-Service that provides:

  • Tools to create, configure, and deploy custom AI agents
  • Knowledge base management with document upload and RAG capabilities
  • Conversation memory and session management
  • API access and webhook integrations
  • Third-party service integrations (Google, Slack, GitHub, etc.)
  • Analytics and monitoring dashboards

3. Account Registration

3.1 Account Creation

To use certain features of the Service, you must register for an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

3.2 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason at our sole discretion. You may delete your account at any time through your account settings.

4. Acceptable Use Policy

You agree NOT to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Generate, store, or transmit illegal, harmful, or offensive content
  • Harass, abuse, or harm another person or entity
  • Impersonate any person or entity
  • Send spam, phishing, or unsolicited communications
  • Attempt to gain unauthorized access to systems or data
  • Interfere with or disrupt the Service or servers
  • Reverse engineer, decompile, or disassemble the Service
  • Use the Service to train competing AI models without permission
  • Circumvent usage limits, rate limits, or access restrictions
  • Create agents that generate misinformation or deepfakes
  • Use the Service for any illegal or unauthorized purpose

5. User Content

5.1 Your Content

You retain ownership of all content you upload, create, or provide through the Service ("User Content"), including documents, agent configurations, and conversation data. By using the Service, you grant us a limited license to process, store, and transmit your User Content solely to provide the Service.

5.2 Content Responsibility

You are solely responsible for your User Content. You represent and warrant that:

  • You own or have the necessary rights to use and share the content
  • Your content does not violate any third-party rights
  • Your content complies with all applicable laws

5.3 AI-Generated Content

Content generated by AI agents through the Service is provided "as is." We do not guarantee the accuracy, completeness, or reliability of AI-generated content. You are responsible for reviewing and verifying any AI-generated content before use.

6. Third-Party Integrations

The Service allows integration with third-party services (e.g., Google, Slack, GitHub). When you connect third-party services:

  • You authorize us to access and use data from those services as necessary
  • You are responsible for complying with the third party's terms of service
  • We are not responsible for the availability or functionality of third-party services
  • You may disconnect integrations at any time through your settings

7. Fees and Payment

7.1 Pricing

Some features of the Service require payment. Current pricing is available on our website. We reserve the right to modify pricing with 30 days' notice.

7.2 Billing

For paid plans, you agree to pay all applicable fees. Fees are non-refundable except as required by law or as expressly stated in these Terms.

7.3 Free Tier

We may offer a free tier with limited features and usage. Free tier availability and limits may change at any time.

8. Intellectual Property

8.1 Our Intellectual Property

The Service, including its original content, features, and functionality, is owned by AgentNation and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

8.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use such feedback without any obligation to you.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
  • WARRANTIES OF NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE
  • WARRANTIES REGARDING THE ACCURACY OF AI-GENERATED CONTENT

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTNATION SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, use, goodwill, or other intangible losses
  • Damages resulting from unauthorized access to your account
  • Damages resulting from AI-generated content
  • Damages resulting from third-party services or integrations

Our total liability for any claims arising from the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless AgentNation and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.

12. Modifications to Service and Terms

We reserve the right to modify or discontinue the Service (or any part thereof) at any time with or without notice. We may also update these Terms from time to time. Material changes will be communicated via email or prominent notice on the Service.

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Bangalore, India.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AgentNation regarding the Service and supersede all prior agreements and understandings.
